Wild guess.....
A windows auto-update program of some kind?
Not much info available on this file, but what little I did find, points in this direction.
I don't have this file on my system, but then again I don't use any auto-update features and actually don't visit windows updates all that often. Run a search for that file on your system and let us know where it is located (folder and file path).

Hang on a second....
Do you mean wuauboot.exe? Double-check if you have a typo there and a missing letter in your post title:
wuauboot
wuaboot

You don't have to disable it unless it is causing you problems. Some people like the automatic features in windows...I don't, so I turn them off. Just my preference is all. Hanging around forums all the time, I always get notice of problems with Windows and then go and get updates if necessary. I do this manually. If you are type of person who doesn't get OS information quickly, through other means, I suggest you leave it on so you don't miss anything.
