Try repairing Internet Explorer:
Open Start>Control Panel>Add/Remove Programs. Choose the browser from the list of programs, click Change/Remove, and choose the Repair option.
Restart after repairing the browser, then try again.If Internet Explorer does not appear on the Add/Remove list, Repair is not an option, and you should;
Security level: Your Internet Explorer security level may be set to High or a custom level which does not allow viewing of ActiveX controls.
To view your Security level, from within Internet Explorer, choose Tools>Internet Options, and in the Security tab, choose Internet.
Though your browser security settings should be chosen by you or your system administrator, the 'Medium: Default Level' will allow you to view Macromedia Flash content. For any Custom Level, ensure that both "Download Signed ActiveX controls" and "Run ActiveX controls and plug-ins" are not Disabled. (Enable or Prompt will work).
Permissions: Your permissions may not allow you to install ActiveX controls or plug-ins.
Download the Standalone installer - Here (http://www.macromedia.com/go/full_flashplayer_win_ie)

Need to ask the obvious...
You logging in as Administrator?
Assumming you downloaded just can't install it. Download it to your hard drive (don't open it save it to the hard drive)
Try this.
1. In Normal Mode, open the Control Panel, and use Add/Remove Programs to uninstall the application.
2. Locate and delete the Flash program folder from your hard disk (if it wasn't already removed after using Add/Remove Programs).
3 Locate the Windows Temp folder and delete any files inside this folder.
4 Reboot the machine into Safe Mode/VGA mode (hold down the F8 key and select SAFE MODE).
6 Run the installer previously copied to your hard disk.
7 When installation is complete and while still in Safe Mode/VGA mode, test the application before returning to Normal mode.
OR
Close all open documents and applications.
1. Press Ctrl+Alt+Del.
Close Program dialog opens, listing all the programs currently running.
2 . To exit a program, in the Close Program dialog box or Applications tab, select the program you want to exit, and then click End Task.
3. Repeat step 2 for each program you want to exit, except Explorer and Systray (the Windows core tasks).
4. After all background tasks have been terminated, launch the application again.
5. If the application runs properly then one of the background tasks is in conflict with the application. Restart Windows normally and redo step 2, testing the application after ending each task. By process of elimination the conflicting background application can be identified.
