What is the exact error message that you are getting?
Try endtasking everything running in the back ground except EXPLORE and SYSTRAY, you may have something running that is conflicting with it.

According to this you can't disable it in Win98.

That is Windows Messenger service, something completely different from MSN Messenger.
Dispite what that web page says you can turn it off, go into /Control Panel/Add-Remove Programs/Windows-setup-tab/ then double click on "System Tools" and take the check out of "WinPopup", reboot if it wants to and then it's gone.

MSN Messenger has been weird lately, nobody on the network could login at all every computer was getting a long numerical error number that I cannot remember, later in the day it worked fine without any changes on our end.
Try endtasking everything on the computer except Explorer and Systray and see if it will work, if it still doesn't work reinstall it with everything else closed as well. If it still doesn't work go to //messenger.msn.com there is a help link somewhere that you can click on to send an email to the Messenger support group.

MSN Instant messenger has been a pain in the butt lately, all day yesterday it kept giving me error "0x81000301" and told me to make sure my Internet connection was working. ICQ worked fine and I could surf to anywhere I wanted to.
Anyway, I reverted back to MSN-IM v6.0 and then deleted the contents of the /Windows/Temp/ and /Temporary Internet Files/ folders and then MSN-IM worked fine after that.
