Shut down error

I am getting the following error on shut down in windows ME
"An exception OE has occured at 0028:C000E8BE in VxD VMM(01) + 0000D8BE. This was called from 0028:C004AB03 in VxD VFAT(01)+ 0000B23F. It may be possible to continue normally. Press any key to attempt to continue or Control-Alt-Delete.

Any suggestions ??
