When on opening my msn i get an error saying:

The libary files needed to this application may be damaged

MSIMG32.dll

tried repacing it and reinstalling.

can any 1 help?

Try to restore it from your Windows CD. It is in the Win_12.CAB file on the WinME OS CD, using the instructions here (http://support.microsoft.com/default.aspx?scid=kb;EN-US;265371)
