Shutting down windows

I have a new problem, to shutdown the comp.
when I shutdown the os (windows 2000 sp4) the computer won't shutdown and the messgae
"It is now safe to ....)"

NOW...

this is new, cuz after I installed the 2k os it was just fine,
I also have red hat (7.2) on this machine and it's ok there.


I dont recall, but I think it started after I upgraded to IE6

in device manager I have : "computer" ------> "standart PC"
but I have problem with the "NT Apm/Legacy Interface Node" it is with exclamation mark
and i have error code 31


"This device is not working properly because Windows cannot load the drivers
required for this device. (Code 31)"

what is the problem there?? (it's definitely a software problem )
