WINDOWS PROTECTION ERROR & NDIS.VXD

I upgraded from WIN 98 SE to WIN ME, and when I boot up I get a WINDOWS PROTECTION ERROR. If I disable NDIS.VXD the system boots up fine. I found the WIN 98 fix for the problem on MICROSOFT but it will not load since I am now on WINDOWS ME. Do you have a fix for the Windows 98 Second Edition Problems with NDIS Intermediate Drivers THAT I CAN LOAD FOR WINDOWS ME? Please help. Thank you.
